MASTER SERVICES AGREEMENT
King of Car Care Mobile Application
The Ding King Training Institute, Inc.
Effective Date: May 21, 2026
This Master Services Agreement (“Agreement“) is entered into by and between The Ding King Training Institute, Inc. (“The Ding King,” “Company,” “we,” “our,” or “us“) and the individual or business entity accessing or using the King of Car Care Mobile Application (“Customer,” “you,” or “your“).
This Agreement governs access to and use of the King of Car Care (“KOCC”) Mobile Application, related software services, websites, integrations, payment services, communications tools, and associated technology offerings provided by The Ding King Training Institute, Inc. (collectively, the “Services“).
BY ACCESSING, REGISTERING FOR, OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THIS AGREEMENT.
1. DEFINITIONS
For purposes of this Agreement:
“Application” means the King of Car Care mobile application, related web portals, and supporting technology systems.
“Authorized Users” means employees, contractors, technicians, managers, or other personnel authorized by Customer to access the Services.
“Customer Data” means information submitted to the Services including:
- Customer records
- Vehicle information
- VIN information
- Repair records
- Images and photographs
- Payment information
- Scheduling information
- Estimates and invoices
- Business operational information
“Subscription Plan” means the pricing package selected by Customer, whether monthly or annual.
“Third-Party Services” means payment processors, messaging providers, analytics providers, cloud hosting providers, integrations, and external software connected to the Services.
2. SERVICES PROVIDED
The Ding King provides software services designed to support automotive reconditioning businesses, detailing businesses, paintless dent repair professionals, and related service providers.
Services may include:
- Customer management
- Scheduling tools
- Vehicle information tracking
- Estimate creation
- Invoice generation
- Photo documentation
- Payment processing
- Mobile communications
- Push notifications
- Reporting functionality
- Business management tools
- Mobile application access
- Software updates
- Related support services
Features may change periodically as Services evolve.
3. SUBSCRIPTION TERMS
Customer may purchase Services under monthly or annual subscription plans.
Subscription fees:
- Are billed in advance
- Automatically renew unless canceled before renewal
- Are non-refundable except where required by law
- May change upon renewal with prior notice
Annual subscriptions renew annually.
Monthly subscriptions renew monthly.
Failure to maintain payment authorization may result in suspension or termination of Services.
4. PAYMENT PROCESSING
The Services may permit Customer to process payments through integrated third-party payment processors.
Customer acknowledges:
- Payment processing services may be provided by third parties
- Additional processing fees may apply
- The Ding King does not directly hold customer payment funds unless expressly stated
- Customer remains solely responsible for compliance with payment regulations applicable to Customer’s business
Customer authorizes The Ding King and designated payment providers to process authorized charges associated with Customer subscriptions and Services.
5. CUSTOMER DATA OWNERSHIP
Customer retains ownership rights to Customer Data submitted through the Services.
Customer grants The Ding King a limited license to:
- Host Customer Data
- Process Customer Data
- Store Customer Data
- Display Customer Data within the Services
- Backup Customer Data
- Improve service performance
- Provide support services
Customer represents that Customer possesses all rights necessary to upload and process Customer Data.
6. VEHICLE INFORMATION AND IMAGE CONTENT
Customer may upload:
- Vehicle images
- VIN information
- Vehicle condition photographs
- Repair documentation
- Service records
- Customer vehicle details
Customer warrants uploaded content:
- Does not violate law
- Does not infringe intellectual property rights
- Is authorized for use
- Does not violate privacy rights
The Ding King may remove content reasonably believed to violate this Agreement.
7. ACCEPTABLE USE
Customer shall not:
- Reverse engineer Services
- Attempt unauthorized access
- Upload malware
- Interfere with platform operation
- Use Services for unlawful purposes
- Transmit harmful content
- Resell Services without authorization
- Circumvent subscription limitations
Violation may result in immediate suspension.
8. THIRD-PARTY SERVICES
Services may integrate with third-party providers.
The Ding King:
- Does not guarantee third-party availability
- Is not responsible for third-party outages
- Is not liable for third-party data handling practices
Use of third-party services remains subject to their own terms.
9. MOBILE COMMUNICATIONS CONSENT
Customer consents to receiving:
- Email notifications
- SMS notifications
- Push notifications
- System alerts
- Billing notices
- Account communications
Standard messaging and data rates may apply.
Customer may modify communication preferences where available.
10. DATA SECURITY
The Ding King implements commercially reasonable safeguards designed to protect Customer Data.
No security system is completely secure.
Customer acknowledges use of cloud-based software involves inherent risks.
11. SOFTWARE AVAILABILITY
The Ding King will use commercially reasonable efforts to maintain Service availability.
The Ding King does not guarantee uninterrupted operation.
Maintenance windows, updates, outages, or force majeure events may affect availability.
12. INTELLECTUAL PROPERTY
The Services, software, designs, trademarks, content, interfaces, and technology remain the exclusive property of The Ding King Training Institute, Inc.
No ownership rights are transferred to Customer.
13. DISCLAIMER OF WARRANTIES
SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
THE DING KING DISCLAIMS ALL WARRANTIES, INCLUDING:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- UNINTERRUPTED SERVICE
- ERROR-FREE PERFORMANCE
14. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
THE DING KING SHALL NOT BE LIABLE FOR:
- LOST PROFITS
- BUSINESS INTERRUPTION
- DATA LOSS
- INDIRECT DAMAGES
- CONSEQUENTIAL DAMAGES
- INCIDENTAL DAMAGES
TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER TO THE DING KING DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
15. INDEMNIFICATION
Customer agrees to defend, indemnify, and hold harmless The Ding King Training Institute, Inc. and its officers, employees, affiliates, and agents from claims arising from:
- Customer misuse
- Customer Data
- Violation of laws
- Violation of this Agreement
16. TERM AND TERMINATION
This Agreement remains effective while Customer uses Services.
The Ding King may suspend or terminate Services for:
- Nonpayment
- Agreement violations
- Fraudulent activity
- Security concerns
Customer may terminate by canceling subscriptions according to account procedures.
Termination does not eliminate accrued payment obligations.
17. GOVERNING LAW
This Agreement shall be governed by the laws of the State of Tennessee, without regard to conflict of law principles.
Any dispute shall be resolved in courts located within Tennessee.
18. MODIFICATIONS
The Ding King may update this Agreement periodically.
Continued use of Services following updates constitutes acceptance.
19. ENTIRE AGREEMENT
This Agreement constitutes the complete agreement between Customer and The Ding King regarding the Services and supersedes prior understandings.
